Planned MDSystems Spin-off Offer

BPH Corporate Limited would like to advise that there are limited days remaining for you to purchase BPH shares and to access the current offer under the planned spin-off of Molecular Discovery Systems (MDSystems).

To receive one share at no cost in MDSystems for every listed BPH share you hold at the record date you will need to have purchased your shares in BPH by no later that COB Thursday, 24 December 2009. Shareholders must hold their BPH shares for five days after the date of shareholder approval of the spin-off which will be sought at the General Meeting on the same day.

BPH Corporate shares are listed on the ASX with the code BPH.

A General Meeting will be held on Thursday, 24 December 2009 to address the proposed spin-off of the Company's wholly owned Molecular Discovery Systems, the proposed investment in Advent Energy, capital raising and the proposed issue of Director options.

The Annual General Meeting will be held on Friday, 15 January 2010.

Notices of Meeing for the General Meeting and the Annual General Meeting are now being dispatched to shareholders.

]]> Molecular Discovery Systems (MDSystems) is a 100% owned subsidery of BPH Corporate. The Main focus of the company since its launch in 2006 is drug discovery and the validation of biomarkers for disease, therapy and diagnostics.

BPH Corporate intends to seek an IPO for MDSystems on the Australian Securities Exchange.

Under planned 'spin off' process, BPH Corporate (ASX: BPH) shareholders would receive a share at no cost in MDSystems for every listed BPH Corporate share that they hold five days after the date of shareholder approval of the spin off which is anticipated to be on 12th November 2009.

This means that an eligible BPH Corporate shareholder could retain the shares they hold in BPH Corporate whilst receivig the same number of shares (at no cost) in the new IPO of MDSystems. The spin off and listing is subject to approval from shareholders and regulatory bodies.

Importantly, pharmaceutical and functional characterisation of BPH Corporate's new anti-mitotic drug clearly indicates that it has the potential to match some of the best anti-mitotic cancer drugs discovered to date.

Cortical Dynamics an investee company of BPH Corporate published in the peer reviewed international journal Computers in Biology and Medicine providing scientific acceptance for the BAR analysis method.

BPH Corporate's representatives attended BIO2008 in San Diego to discuss with international pharma groups the potential licensing opportunities for HLS5.

Dr Louis Winteringham presented on HLS5 at the Signalling and Cancer Symposium (ComBio) in Canberra. Louise also presented a poster at the American Society of Hematology (ASH) reporting the findings concerning the role of HLS5 in controlling gene regulation and differentiation of leukemia cells.

The Western Australia Institute for Medical Research (WAIMR) research team were accepted for publication reporting their important findings concerning the role of HLS5 in controlling gene-regulation and cell differentiation in the respected journal Blood.

BPH Corporate undertook an extensive high-throughout screening of 70,000 synthetic compounds yielding molecules that demonstrate potential for further anti-tumour analysis and drug development.

Molecular Discovery Systems a wholly owned subsidery of BPH Corporate successfully completed a Collaborative Research Agreement with GE Healthcare, one of the worlds largest healthcare companies.

Diagnostic Array Systems an investee company of BPH Corporate won a Commercial Ready Grant in 2007 to improve diagnosis using the DNA-based BacTrak System and completed the grant in 2008.

Dr Peter King was appointed the new Chief Executive Officer for BPH Corporate Limted. Peter was also invited to sit on the selection panel of the Science and Innovation Studentship Awards (SISA) this year.

BPH Corporate Limited takes great pleasure in congratulating Alison Mees on her success in winning a 2007 Department of Industry & Resources Studentship Award. The studentship award will see Alison test novel compounds for anti-cancer properties.

Studentship Award

The Science and Innovation Studentship Award (SISA) was introduced in 2004 to provide an opportunity for research students to work on a project with a Western Australian private sector organisation of their choice for a period of 10 weeks.

The Award promotes research interaction between industry and academia, with a focus on issues essential to long-term development and modernization of Western Australian Industry. The Studentship seeks to encourage creativity and innovation in science students/graduates, with students allowed to broaden their professional experience and gain valuable skills and experience in developing and applying their own ideas.

This year up to 20 Studentships will be available, valued at $7,000.00 each.
